1. Engagement & General Terms
- 1.1 Corporate Entity: These terms govern services provided by Synced.Ent Pty Ltd (ACN XXX XXX XXX) (“Synced.Ent,” “we,” “us,” or “our”), access to our online AI advertising suite (“Platform”), and associated solutions (“Services”) via syncedent.com, syncedent.ai, syncedent.app, and connected properties.
- 1.2 Binding Agreement: These Terms of Service apply to Synced.Ent, the commercial organization you represent (“Customer”), and all registered account users (“Authorised Users”). By registering or utilizing the Platform, you warrant that you hold proper legal authority to commit your organization to these terms.
- 1.3 Privacy Integration: Our handling of personal data, cookies, and technical information is detailed in our Privacy Policy, which applies alongside these terms.
- 1.4 Subscription Term: This agreement remains in effect from initial registration through your active Subscription Period. Paid plans automatically renew for successive billing cycles upon settlement of recurring fees.
- 1.5 Revisions: We reserve the right to modify these terms as needed. Updated versions take effect immediately upon being posted to our Website.
2. Platform Access & License Scope
- 2.1 Right to Use: Provided you maintain an active account and comply with payment obligations, Synced.Ent grants you a limited, non-transferable, non-sublicensable, non-exclusive right to access our Platform solely for internal business operations (excluding personal or household use).
- 2.2 Tiered Limits: Service access is subject to parameters associated with your plan tier, such as caps on Authorised Users, monthly ad video exports, or connected feature deployments.
3. Account Management & Acceptable Use
- 3.1 Security & Accuracy: Account profiles must contain valid, up-to-date business details. You maintain full responsibility for securing your credentials and for all actions executed under your profile login.
- 3.2 Prohibited Actions: You agree to use our Services strictly within legal bounds. You are explicitly forbidden from:
- Generating unreasonable, automated, or excessive traffic loads on platform infrastructure.
- Copying, decompiling, reverse-engineering, downloading, or duplicating platform source code, architecture, or tools.
- Attempting to subvert, trick, or alter AI system behavior through adversarial inputs, prompt injection, or manipulation techniques.
- Violating third-party privacy, contractual, or intellectual property rights.
4. Platform Modifications & Availability
- 4.1 Service Provision: To the maximum extent permitted by applicable law, all platform features and capabilities are provided on an “as is” and “as available” basis without express or implied warranties.
- 4.2 Continuous Improvement: Synced.Ent reserves the right to adjust, enhance, update, or discontinue specific platform tools and functionality at any time.
5. Billing & Subscription Fees
Subscription charges are billed upfront in advance based on your selected tier. Failure to settle invoice amounts when due may lead to immediate feature restriction or account suspension.
6. Intellectual Property
Synced.Ent retains exclusive title, ownership, and intellectual property rights over the underlying software, machine learning models, platform algorithms, and brand assets. Subject to full fee payment and adherence to these terms, Customer receives rights to use completed output materials generated on the Platform.
7. Legal Guarantees & Liability Exclusions
- 7.1 Australian Consumer Law: Nothing in these terms excludes, restricts, or modifies statutory guarantees or non-excludable legal protections available under Australian Consumer Law.
- 7.2 Liability Cap: To the extent allowed by law, Synced.Ent is not liable for indirect, incidental, special, or consequential damages. Our total aggregate liability under any circumstances is capped at the total subscription fees paid by you during the active billing period.
8. Indemnification
You agree to defend, indemnify, and hold harmless Synced.Ent, its officers, employees, and agents from any third-party claims, liabilities, damages, or costs arising out of your breach of these terms, platform misuse, or infringement of third-party rights.
9. Account Termination
Synced.Ent reserves the right to suspend access or immediately cancel your account if you breach these terms, engage in prohibited platform activity, or default on subscription payments.
10. General Legal Provisions
- 10.1 Transfer: Synced.Ent may assign its contractual rights or duties under these terms by providing reasonable notice.
- 10.2 Jurisdiction: These terms are governed by the laws of New South Wales, Australia, and both parties submit to the exclusive jurisdiction of New South Wales courts.
- 10.3 Legal Relationship: Nothing in this agreement creates a partnership, joint venture, agency, or employment relationship between the parties.
